Website Terms of Use and Service Terms
1. Acceptance of These Terms
These Terms of Use and Service Terms are a legal agreement between you and KC Book Works (formerly known as KT Book Works), operated by Kari Cameron.
By accessing the KC Book Works website, submitting a form, requesting a consultation, purchasing a service, or engaging KC Book Works, you agree to these Terms.
Do not use the website or services if you do not agree to these Terms.
2. Definitions
In these Terms:
- "KC Book Works," "we," "us," or "our" means KC Book Works, operated by Kari Cameron.
- "Client" means an individual or organization that has entered into an engagement with KC Book Works.
- "Services" means bookkeeping, reconciliation, financial-record organization, reporting, payroll support, administrative assistance, and other services agreed to in writing.
- "Website" means kc-book-works.vercel.app and its associated pages, forms, content, and functionality.
- "Engagement Agreement" means a signed proposal, engagement letter, service agreement, statement of work, or other written agreement between KC Book Works and a client.
3. Website Information Only
Website content is provided for general educational and informational purposes.
Website content is not:
- Legal advice;
- Tax advice;
- Investment advice;
- Financial-planning advice;
- Audit assurance;
- A formal accounting opinion; or
- A substitute for advice based on your specific circumstances.
You should consult an appropriately qualified professional before making legal, tax, investment, financing, employment, or other significant business decisions.
4. No Client Relationship Through Website Use
Visiting the website, submitting a contact form, downloading information, or communicating with KC Book Works does not automatically create a client relationship.
A client relationship begins only when:
- KC Book Works confirms acceptance of the engagement;
- The required Engagement Agreement is completed;
- Any requested onboarding information is received; and
- Required deposits, retainers, or initial payments are made.
KC Book Works may decline any prospective engagement at its discretion, subject to applicable law.
5. Scope of Services
KC Book Works may provide:
- Transaction categorization;
- Bank and credit-card reconciliation;
- Accounts payable or receivable support;
- Financial-record organization;
- General-ledger maintenance;
- Bookkeeping cleanup;
- Monthly or periodic reporting;
- Payroll-administration support;
- Expense tracking;
- Invoice-management support;
- Document organization;
- Bookkeeping-system support; and
- Related administrative services.
The precise scope, frequency, deliverables, responsibilities, deadlines, and fees will be stated in the Engagement Agreement.
Services not expressly included in the Engagement Agreement are outside the scope of the engagement and may require a separate written agreement and additional fees.
6. Engagement Agreement Controls
These Terms apply generally to website use and services.
Where a signed Engagement Agreement contains terms that differ from these Terms, the Engagement Agreement will control concerning the specific client engagement.
No verbal statement will modify an Engagement Agreement unless confirmed in writing by an authorized representative of KC Book Works.
7. Nature of Bookkeeping Services
Unless expressly agreed in writing, KC Book Works does not provide:
- Audit engagements;
- Review engagements;
- Compilation engagements requiring professional assurance;
- Legal representation;
- Investment management;
- Insolvency advice;
- Business valuations;
- Fraud examinations;
- Forensic accounting;
- Tax opinions; or
- Guarantees regarding tax outcomes, financing approval, profitability, or business performance.
KC Book Works does not independently verify every document or transaction provided by a client unless verification is specifically included in the Engagement Agreement.
Bookkeeping reports are prepared using the information, records, classifications, assumptions, and instructions available at the time.
8. Client Responsibilities
Clients are responsible for:
- Providing complete, accurate, authentic, and timely records;
- Disclosing all relevant accounts, transactions, liabilities, revenues, expenses, payroll matters, and tax information;
- Responding to questions and document requests promptly;
- Reviewing reports, reconciliations, filings, and financial information;
- Confirming the appropriate classification of unusual transactions;
- Maintaining appropriate approvals and internal controls;
- Safeguarding banking and software credentials;
- Maintaining independent copies of original records;
- Meeting legal, tax, payroll, remittance, licensing, and filing obligations;
- Making all management and business decisions;
- Preventing and detecting fraud within their organization; and
- Informing KC Book Works promptly of errors, omissions, suspected fraud, security concerns, or material business changes.
Clients remain ultimately responsible for their books, records, financial statements, tax returns, statutory filings, remittances, and business decisions.
9. Information Provided by the Client
KC Book Works may rely on information supplied by the client and the client's authorized representatives without independently verifying its accuracy or completeness.
The client represents that:
- The information provided is accurate to the best of the client's knowledge;
- The client is authorized to provide it;
- Providing the information does not violate another person's rights;
- Required consents have been obtained; and
- The information is not fraudulent, unlawful, or misleading.
KC Book Works is not responsible for consequences caused by inaccurate, incomplete, altered, delayed, concealed, or withheld information.
10. Access to Accounts and Systems
Where services require access to bookkeeping, payroll, banking, payment, invoicing, or other business systems, the client authorizes KC Book Works to access those systems solely for the agreed services.
Whenever reasonably available, clients should provide:
- Accountant access;
- Authorized-user access;
- Role-based access;
- Read-only access; or
- Access through an approved secure platform.
Clients should not send passwords, payment-card security codes, or online banking credentials through ordinary email or public website forms.
The client must promptly remove KC Book Works' access when the engagement ends or when access is no longer required.
11. Deadlines and Delays
KC Book Works will use reasonable efforts to meet agreed timelines.
Any deadline depends on the client providing complete and accurate records, approvals, instructions, and access by the required date.
KC Book Works is not responsible for penalties, interest, missed deadlines, delayed filings, rejected transactions, or other losses resulting from:
- Late or incomplete records;
- Unanswered questions;
- Missing approvals;
- Inaccurate client information;
- Third-party delays;
- Government processing delays;
- Software outages;
- Banking disruptions; or
- Events outside KC Book Works' reasonable control.
12. Fees, Invoices, and Payment
Fees may be based on:
- A monthly retainer;
- A fixed project fee;
- An hourly rate;
- A service package; or
- Another arrangement stated in the Engagement Agreement.
Invoices are payable by the date shown on the invoice.
The client is responsible for applicable taxes, approved expenses, software charges, transaction charges, and third-party costs identified in the Engagement Agreement.
Late-payment charges will apply only where disclosed in the Engagement Agreement or invoice and permitted by law.
KC Book Works may suspend services, withhold non-essential deliverables, or decline additional work when an account is overdue.
Suspension does not relieve the client of responsibility for deadlines, remittances, filings, or outstanding fees.
13. Changes in Scope
Additional work may be required where:
- Records are incomplete or disorganized;
- Prior bookkeeping contains errors;
- Reconciliations are significantly behind;
- Undisclosed accounts or transactions are discovered;
- Software requires correction or migration;
- Payroll or sales-tax issues require additional work;
- The client changes the requested deliverables; or
- Work falls outside the agreed scope.
KC Book Works will communicate material scope changes and may require written approval of revised fees or timelines before continuing.
14. Taxes and Government Filings
KC Book Works will prepare or submit tax, payroll, sales-tax, or government filings only where those services are expressly included in the Engagement Agreement.
The client is responsible for:
- Reviewing filings;
- Confirming their accuracy;
- Authorizing submission;
- Paying taxes, payroll, remittances, interest, or penalties; and
- Maintaining records supporting the filing.
KC Book Works does not guarantee that a filing will be accepted or that a government agency will not conduct a review, reassessment, audit, or investigation.
15. Confidentiality and Privacy
KC Book Works will use reasonable measures to protect confidential client information.
Information may be disclosed:
- With the client's consent;
- To approved service providers;
- To the client's authorized professionals or representatives;
- As required by law;
- To protect legal rights or security; or
- As otherwise described in the KC Book Works Privacy Policy.
The Privacy Policy forms part of these Terms.
16. Third-Party Platforms and Services
KC Book Works may use or recommend third-party platforms for:
- Accounting;
- Bookkeeping;
- Payroll;
- Payments;
- Scheduling;
- Document transfer;
- Electronic signatures;
- Cloud storage;
- Email;
- Client portals; or
- Other business functions.
Third-party services are governed by their own terms, privacy policies, service levels, fees, and security practices.
KC Book Works is not responsible for:
- Third-party outages;
- Data loss caused solely by a third party;
- Product changes;
- Pricing changes;
- Account restrictions;
- Cybersecurity incidents outside KC Book Works' reasonable control; or
- A client's failure to comply with third-party terms.
17. Electronic Communications
The client consents to communicating electronically unless another method is agreed upon.
Electronic communications may be delayed, intercepted, corrupted, misdirected, or accessed without authorization.
KC Book Works will take reasonable precautions but cannot guarantee that ordinary email or internet communications will always be secure.
Clients should use approved secure portals or protected document-transfer methods for sensitive financial information whenever available.
18. Record Retention
KC Book Works may retain engagement records for the period reasonably required to:
- Deliver services;
- Satisfy legal and tax requirements;
- Address questions or disputes;
- Maintain insurance or business records; and
- Establish, exercise, or defend legal claims.
Clients remain responsible for retaining their original books, receipts, statements, payroll records, tax documents, and other source records for all legally required periods.
KC Book Works is not the client's permanent document-storage provider unless a separate written agreement expressly states otherwise.
Upon termination, KC Book Works may return, transfer, archive, or securely destroy records in accordance with the Engagement Agreement, the Privacy Policy, and applicable law.
19. Intellectual Property
Unless otherwise stated:
- KC Book Works owns its website content, branding, templates, procedures, checklists, training materials, methodologies, and original resources.
- The client retains ownership of the client's original records, data, trademarks, and materials.
- The client may use reports and deliverables prepared specifically for the client for the client's internal business purposes.
- The client may not resell, publish, reproduce, distribute, license, or commercially exploit KC Book Works' proprietary materials without written permission.
20. Acceptable Website Use
You must not:
- Use the website unlawfully;
- Attempt to gain unauthorized access to systems or information;
- Introduce malware or harmful code;
- Interfere with website operation;
- Submit false, fraudulent, abusive, or misleading information;
- Impersonate another person;
- Scrape or copy website content for commercial use;
- Infringe intellectual-property or privacy rights; or
- Use the website to distribute spam or unlawful material.
KC Book Works may restrict or terminate access where misuse is suspected.
21. Accuracy and Availability of Website Content
KC Book Works attempts to provide useful and accurate information but does not guarantee that all website content will always be:
- Complete;
- Current;
- Error-free;
- Suitable for a particular purpose; or
- Continuously available.
Website content may be changed, corrected, removed, or updated without notice.
22. No Guarantee of Results
KC Book Works does not guarantee:
- Increased revenue;
- Reduced taxes;
- Audit avoidance;
- Financing approval;
- Profitability;
- Business growth;
- Error-free third-party software;
- A particular regulatory outcome; or
- Any specific financial result.
Results depend on factors outside KC Book Works' control, including the client's records, decisions, operations, compliance, market conditions, and third-party actions.
23. Limitation of Liability
To the maximum extent permitted by law, KC Book Works will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data.
KC Book Works will not be responsible for losses arising from:
- Inaccurate, incomplete, delayed, concealed, or fraudulent client information;
- Client decisions;
- Failure to review reports or filings;
- Missed client approvals;
- Unauthorized system access not caused by KC Book Works;
- Third-party platforms;
- Government action;
- Changes in law;
- Banking or payment-system failures; or
- Events outside KC Book Works' reasonable control.
Unless the Engagement Agreement states otherwise, KC Book Works' total aggregate liability arising from a specific engagement will not exceed the fees paid to KC Book Works for the specific services giving rise to the claim during the six months immediately preceding the event giving rise to liability.
This limitation does not apply to liability that cannot lawfully be limited or excluded.
24. Client Indemnity
To the extent permitted by law, the client agrees to indemnify KC Book Works against third-party claims, losses, or reasonable costs arising from:
- Unlawful or unauthorized information supplied by the client;
- The client's breach of these Terms or an Engagement Agreement;
- Fraudulent or misleading client records;
- The client's violation of another person's rights; or
- The client's failure to meet legal, tax, payroll, employment, or regulatory obligations.
This indemnity does not apply to the extent a claim was caused by KC Book Works' fraud, wilful misconduct, or liability that cannot lawfully be excluded.
25. Suspension and Termination
Either party may terminate services according to the notice requirements in the Engagement Agreement.
KC Book Works may suspend or terminate services where:
- Invoices remain unpaid;
- Required information is repeatedly withheld;
- The client provides misleading or unlawful instructions;
- Continuing the engagement may violate the law;
- The client behaves abusively or threatens safety;
- A conflict of interest arises;
- Required cooperation is not provided; or
- Trust in the professional relationship has materially broken down.
The client remains responsible for:
- Fees for work completed;
- Approved expenses;
- Third-party charges;
- Work required to organize or transfer files; and
- Obligations that arose before termination.
26. Force Majeure
KC Book Works will not be liable for a delay or failure caused by events beyond its reasonable control, including:
- Natural disasters;
- Severe weather;
- Fire;
- Flood;
- Illness or medical emergency;
- Labour disruption;
- Government action;
- Cyberattack;
- Telecommunications failure;
- Power failure;
- Banking disruption;
- Internet outage; or
- Failure of a critical third-party platform.
KC Book Works will use reasonable efforts to communicate material disruptions and resume affected services.
27. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Unless the parties agree to another lawful dispute-resolution process, disputes will be submitted to the courts located in Ontario.
28. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue in effect.
29. Waiver
A failure to enforce a provision is not a waiver of the right to enforce that provision later.
30. Assignment
You may not assign your rights or obligations under an Engagement Agreement without written consent from KC Book Works.
KC Book Works may assign an agreement as part of a lawful business reorganization, sale, or transfer, subject to applicable confidentiality and privacy obligations.
31. Changes to These Terms
KC Book Works may update these Terms to reflect changes in services, laws, technology, or business practices.
Updated Terms will be posted on the website with a revised "Last Updated" date.
Changes to an existing client's material service obligations will be handled in accordance with the applicable Engagement Agreement and law.
